Clear Answers on Singapore Compliance
Frequently Asked Questions on Regulatory Governance
Resolving the ambiguities of ACRA statutory filing deadlines, IRAS corporate tax schedules, 9% GST, and Singapore resident officer requirements.
Have a specific corporate question not answered here?
Under Section 171 of the Singapore Companies Act (Cap. 50), every private limited company must appoint at least one locally resident Company Secretary within 6 months of incorporation. The secretary must be an individual residing in Singapore (Citizen, Permanent Resident, or EntrePass holder) with qualified statutory knowledge. The position cannot be left vacant for more than 6 months. CS Supreme provides an experienced, named resident corporate secretary to ensure full statutory compliance.
Private limited companies must hold their Annual General Meeting (AGM) within 6 months of their Financial Year End (FYE), unless exempt or dispensing with the AGM through unanimous shareholder resolution. The Annual Return (AR) must be lodged with ACRA via BizFile+ within 7 months of the FYE. Late filings incur automatic statutory composition fines starting at SGD 300 and escalating rapidly. CS Supreme manages the entire schedule proactively so deadlines are never missed.
Singapore imposes a single-tier flat corporate tax rate of 17%. Capital gains and foreign dividends are generally exempt. Under the Start-Up Tax Exemption (SUTE) scheme for qualifying new companies in their first 3 consecutive Years of Assessment (YAs), 75% of the first SGD 100,000 in normal chargeable income is exempt, and 50% of the next SGD 100,000 is exempt. All other companies qualify for the Partial Tax Exemption (PTE), exempting 75% of the first SGD 10,000 and 50% of the next SGD 190,000.
Form C-S is a simplified 3-page tax return for Singapore-incorporated companies with annual revenue up to SGD 5 million, earning income taxable at the standard 17% rate and not claiming complex group relief or foreign tax credits. Form C-S (Lite) is even simpler for companies with annual revenue of SGD 200,000 or below. Companies with revenue above SGD 5 million or complex corporate structures must file Form C along with audited or unaudited financial statements and tax computations. The IRAS filing deadline is strictly 30 November.
GST registration is compulsory when your company's taxable turnover exceeds SGD 1 million at the end of any calendar year (retrospective basis) or is forecast to exceed SGD 1 million over the next 12 months (prospective basis). The GST rate is 9% as of 2024. Companies below the threshold may register voluntarily, allowing them to claim input tax credits on business purchases. Once registered, returns must be filed quarterly via IRAS myTax Portal.
Yes, 100% foreign shareholding is fully permitted in Singapore. However, ACRA mandates that every company must have at least one director who is ordinarily resident in Singapore (Singapore Citizen, Singapore Permanent Resident, or eligible EntrePass/Employment Pass holder). Foreign founders who do not relocate can utilize a professional Nominee Resident Director service provided by licensed corporate secretarial firms such as CS Supreme.
Unlike providers that lure businesses with artificially low headline rates only to charge hidden fees for routine minutes, official disbursements, or register updates, CS Supreme provides transparent, all-inclusive corporate secretarial and tax packages. All ACRA statutory filing fees and document preparation costs are itemized upfront, and no additional fees are charged without prior client approval.
